Solstar International and Umbrella Management Group Inc Announce Exclusive Partnership Agreement in Liberia.

Monrovia - April 25, 2023 - Solstar International Pte Ltd ("Solstar") and Umbrella Management Group Inc ("UMG") have entered into an exclusive partnership agreement in Liberia. This strategic collaboration will enable UMG to represent, sell, market, distribute, maintain, and repair Solstar's cutting-edge products within the territory.

As the Exclusive Partner of Solstar in Liberia, UMG assumes the responsibility of promoting and facilitating the sale of Solstar's products in the market. With this partnership, UMG gains the authority to purchase Solstar's products for its own account and sell them to customers within the territory. It is important to note that this agreement does not create an agency, partnership, franchise, or joint venture relationship between the two parties. UMG operates as an independent contractor and does not possess the authority to legally bind Solstar.

The agreement emphasizes UMG's accountability for its employees engaged in fulfilling the obligations outlined in the partnership. These employees are not considered employees of Solstar, and UMG is responsible for their hiring, compensation, and termination. UMG also undertakes the obligation to defend, indemnify, and hold Solstar harmless from any claims that may arise from the actions of its employees.

UMG further commits to indemnifying Solstar against all actions, proceedings, claims, demands, costs, legal fees, and expenses arising from UMG's acts or omissions related to the sale, maintenance, marketing, distribution, and repair of Solstar's products within Liberia.

To ensure compliance with local regulations, UMG will secure all necessary governmental permits, consents, approvals, and licenses at its own cost. Additionally, UMG will keep Solstar informed of any changes in the import, distribution, or marketing regulations that may impact its activities within the territory.

Under the terms of the partnership, UMG will handle all aspects of sales, marketing, and local warranty services for Solstar's products in Liberia. The company will bear the responsibility of maintaining full compliance with local laws within the territory.

The agreement will be governed, construed, and interpreted in accordance with English laws of the Republic of Liberia, without regard to conflict of laws principles.

The partnership agreement was signed by Inderjit Singh Dhaliwal, CEO of Solstar International Pte Ltd, and Jerome E. Sheldon, Jr, CEO of Umbrella Management Group Inc, on April 25, 2023, in Singapore and Monrovia, Liberia, respectively.
